ELIGIBILITY: Open Only to Legal Residents OF THE fifty (50) UNITED STATES AND THE DISTRICT OF COLUMBIA, 18 years of age or older. Void Where Prohibited. Employees (and their immediate families (spouse, and parents, children and siblings and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of MSG Entertainment Holdings, LLC (“Sponsor”), PM Pediatrics Management Group, LLC (“PM Pediatrics”), Ameream LLC, doing business as American Dream (“American Dream”), VStar Entertainment Group (“Vstar”), Viacom International Inc. (“Viacom”), Spin Master Ltd (“Spin Master”) and their respective parents, affiliates, subsidiaries and advertising and promotion agencies are not eligible to enter or win. By participating, entrants agree to be bound by these official rules (“Official Rules”) and the decisions of the Sponsor and/or judges, which are binding and final on matters relating to this sweepstakes. Sweepstakes is subject to all applicable federal, state and local laws.

HOW TO ENTER: On April 10, 2023, beginning at or around 12:00 pm Eastern Time (“ET”) and ending at 11:00 am ET on April 14, 2023 (“Entry Period”), find and like the post about the sweepstakes on either the @thetheateratmsg or @americandream profile page on Instagram, and respond in the comments section of the post by tagging three friends. If you don’t do so already, you must also follow the Instagram account for the profile under which you submit your entry. You can unfollow the Instagram profile under which you entered at any time after the winner has been announced. All entries must be received by 11:00 am ET on April 14, 2023. Entries that do not include all the stated entry elements will be void and not considered. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. A maximum of one (1) sweepstakes entry per person. If entries are submitted through both the @thetheateratmsg and @americandreams profiles only the first entry submitted will be considered. Entries become the sole property of Sponsor. If you do not have an Instagram account, establishing an account is free. All Instagram terms apply.

ENTRY REQUIREMENTS: Submitted entries must be in keeping with Sponsor’s image and may not be offensive or inappropriate, as determined by Sponsor in its sole discretion. Entries must not defame, violate or infringe upon the rights of any person or entity. Sponsor reserves the right to disqualify any entry and remove any post that it determines, in its sole discretion, is not in compliance with these Official Rules.

Drawing: Potential winner will be selected from among all eligible entries received in a random drawing held on or about April 14, 2023 following the conclusion of the Entry Period. Odds of winning depend on the number of eligible entries received. Potential winner will be notified by e-mail and/or phone and may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release, within the time period specified by Sponsor. If such documents are not returned within the specified time period, a prize or prize notification is returned as undeliverable, or a potential winner is not in compliance with these Official Rules, prize will be forfeited and, at Sponsor’s discretion, an alternate winner may selected, time permitting.

Prize: One (1) winner will receive a prize package consisting of four (4) passes to the Nickelodeon Universe theme park at American Dream (the “Attraction”) and four (4) tickets to the see PAW Patrol Live! “Heroes Unite” at The Theater at Madison Square Garden on April 23, 2023 at 5:30 pm ET (the “Show”) – Total approximate retail value of prize package (“ARV”): $776. Travel not included as part of the prize and is the sole responsibility of the winner. Tickets and passes are subject to the terms and conditions specified thereon (as applicable), including that the ticketholder is eligible to attend the event for which tickets are issued. Attraction passes expire August 31, 2023 and are subject to blackout dates, are valid only during public operating hours, and may not be sold or redistributed. Sponsor is not responsible if the Show or Attraction are delayed, postponed or cancelled for any reason; the terms of the tickets and passes (as applicable) shall govern, no substitution will be provided by Sponsor, except as in Sponsor’s sole discretion, and winner will not be reimbursed for tickets or passes. Seating for the Show to be determined in the sole discretion of Sponsor. Winner and guests must comply with all applicable venue rules and regulations, including COVID-19 protocols in effect at the time of the Show or Attraction. Winner and guests must abide by all venue policies. Resale of tickets and/or passes is prohibited. Winner and guests fully understand that (a) the novel coronavirus SARS-CoV-2 and any resulting disease (together with any mutation, adaptation or variation thereof, “COVID-19”) is extremely contagious and there is an inherent risk of exposure to COVID-19 in any place where people are or have been present; (b) no precautions, including the protocols that may be implemented from time to time based upon public health and government-sponsored guidelines, can eliminate the risk of exposure to COVID-19; (c) while people of all ages and health conditions have been adversely affected by COVID-19, certain people have been identified by public health authorities as having greater risk based on age and/or underlying medical conditions; and (d) exposure to COVID-19 can result in being subject to quarantine requirements, illness, disability, other short-term and long-term health effects, and/or death, regardless of age or health condition.

Prize is awarded “as is” with no warranty or guarantee, either express or implied. All federal, state and local taxes, if any, and all other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winner. Winner may not substitute, assign or transfer prize, but Sponsor reserves the right, at its sole discretion, to substitute a prize of comparable or greater value. Prize is not redeemable for cash. All prize details are at Sponsor’s sole discretion.

GRANT OF RIGHTS: By submitting an entry, each entrant grants to Sponsor, American Dream and their respective licensees, successors and assigns an irrevocable, perpetual, unlimited, royalty-free, fully paid-up license to reproduce, distribute, display, exhibit, exploit, perform, edit, create derivatives of, and otherwise use the entry and all elements of such entry, together with any other material, and the name, user name, city and state of residence, voice, image and/or likeness of entrant (including, but not limited to, applicable profile photo), in any and all media now known or hereafter devised, in any manner, in whole or in part, worldwide, without compensation or notification to, or permission from, entrant or any third party, for any purpose whatsoever, including without limitation, for purposes of advertising or trade.

General Conditions: Entrants, by participating, agree that Sponsor, PM Pediatrics, American Dream, VStar, Viacom, Spin Master, Instagram, LLC, and their respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of prize or participation in this sweepstakes. Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered or garbled entries, email, mail, or other communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the sweepstakes, the processing of entries, the announcement of the prize or in any sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the sweepstakes. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer or other device related to or resulting from participating in this sweepstakes or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the sweepstakes or website or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Should any portion of the sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the sweepstakes and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor.
